What does a Parliamentarian do for a board of directors?

The president of the board of directors for my home owners association wants me to become this role. I have no idea what it means, other than googling it.

My HOA just voted a new board member on, and he has been very disruptive. He has questioned the legality of our meetings and has been nuisance to everyone on the board. We are holding a board meeting tonight, and this guy wants to run for the Parli., however the board doesnt want him in this position. The pres. asked me last night if I would fill this role (to keep other guy from getting it).

This new guy has been threatening the other board members with legal action because he "feels our meetings our illegal!?!?!?" Its silly because our board has been around for 15 years, and everyone is experienced in their roles. He wants to allocate $500 for a civil engineer to do a study to dredge the neighborhood ponds, which would end up costing $100,000's, and the neighborhood is against this. All this guy is, is an old retired man, with nothing better to do than cause problems. I am not just saying that, he is crazy.

Anyone have HOA or BOD experience can chime in with what I should do? Because i have no experience in Executive boards, I have no idea if I should get involved with this role, being that this nutcase is threatening us.

    • He makes a good point about Wallace.  In fairness to Wallace it is hard to play your position as freely as you need to when your defensive line is getting pushed around like ragdolls.  One of the greatest attributes a defensive line has is sucking up blocks, freeing up your linebackers.  Our defensive line couldn't suck up a lollipop more or less blocks.  I think Evans, Sanders and Tremble are going to be a really nice TE group.  I can see all three getting time on the field.  If Sanders can improve as a blocker teams won't be so inclined to believe it is a pass play whenever Sanders is on the field.  Ryan Fitzgerald, I think was an awesome pick-up. Hopefully he can fill our kicker void. Luke Kandra many turn out to be our next Norwell.  Everything I have heard about him says he's a beast.  He needs some refinement, but the good news is he's got Hunt and Lewis (arguably the best guard tandem in the league) to learn from. 
    • Great teams build through the draft and have several young players that start that are on rookie contracts. It's important to hit on players in rounds 4 thru 7.  These should be future starters and solid depth.  When you hit on most of your picks you free up a lot of cap space for those one- or two-year players to fill spots you are thin at. No GM is going to perfect on all their picks.  You're going to whiff every once in a while.  That was Hurney problem.  He'd nail the first pick but after that it was reach after reach and we couldn't get any depth on this team. I'm excited about Morgan as our GM and hopefully he'll be around a long time.  It will be even better if Canales can continue to grow as a head coach, both in the development of young players and play calling. I remember last season after Young came back in the lineup and started to perform well.  We saw different plays I had only seen other teams use.   If Canales's play design and play calling continue to grow. Morgan and Canales will be linked together for a long time.  It would be nice to see a Coach and GM together for a decade or two. Go Panthers
    • They also came out for the encore and the singers were dressed in canes jerseys. Pretty fuging cool.
